(“Accolade” or the “Company”), we submit this letter in response to comments received from the staff (the “Staff”) of the Securities and Exchange Commission (the “Commission”) by letter dated March 10, 2020 (the “Comment Letter”) with respect to the Company’s above referenced Registration Statement on Form S-1 (the “Registration Statement”). Concurrently with the submission of this response letter, the Company has revised the Registration Statement and is publicly filing via EDGAR an Amendment No. 1 to the Registration Statement on Form S-1 (the “Amended Registration Statement”). In addition to addressing the comments raised by the Staff in its letter, the Company has revised the Amended Registration Statement to update other disclosures.

1.Please present per share amounts on an estimated preliminary historical and pro forma basis for a fulsome and balanced presentation. Additionally, provide qualitative disclosure of any material variances between the estimated preliminary fiscal 2020 and corresponding historical fiscal 2019 data that provides useful information to investors.

 

Response: In response to the Staff’s comment, the Company has revised the disclosure on page 11 of the Amended Registration Statement.

Response: In response to the Staff’s comment, the Company has revised the disclosure on page 96 of the Amended Registration Statement. The Company respectfully reminds the Staff that we are now comparing full fiscal years rather than nine month periods. We have appropriately updated the factors causing the change in cash used in operations.
